AGREEMENT FOR SERVICES

This Agreement for Services (“Agreement”) is entered into by and between {{billing_company}} (“Provider”) and Covid Clinic, Inc. (“Covid Clinic”), effective as of the date of the last signature (the “Effective Date”). Covid Clinic and Provider shall individually be referred to as a “Party” and collectively as the “Parties.”

RECITALS

1. Covid Clinic owns and operates www.testfortravel.com (the “Website”), through which individuals (“Users”) can search for nearby healthcare service and testing providers, including COVID-19 testing locations. Providers may register on the Website to have their location(s) (“Listing(s)”) displayed and receive other promotional services (“Services”).
2. Provider provides healthcare services and/or testing and desires to register its Listing(s) on the Website and receive Services.

NOW, THEREFORE, in consideration of the foregoing and for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties hereby agree as follows:

TERMS

1. Term. The Term of this Agreement shall commence with the Effective Date and shall continue month-to-month, or until otherwise terminated by either Party. Either Party may terminate this Agreement at any time and for any reason upon written notice.

2. Services. During the Term of the Agreement, Covid Clinic shall make available the following Services to Provider at the following prices:

   • Service
     1. Basic – The Premium Package includes everything included within the Basic Package and also removes banner advertisements from the Listing and permits the Provider to write a description which will be displayed on the Website.
        • $39.95 per Listing per month
     2. Premium – The Deluxe Package includes everything included within the Premium Package and the Provider’s Listing appears above Basic and Premium Listings in search results, to the extent the Listing fits the search criteria. The Listing may appear above or below other Deluxe Listings. The Provider’s map icon will also be highlighted.
        • $599.95 per Listing per month

1. Listing. During the Term, Covid Clinic shall provide the following Services to the following Listing:

2. Payment. In exchange for the Services, Provider shall pay Covid Clinic the aggregated monthly cost of the Services in advance on the Effective Date and monthly thereafter. The monthly cost may be increased by Covid Clinic at any time upon not less than thirty (30) days advance notice to Provider, which notice may be sent via email. If a listing is terminated mid-month, no refunds will be given by Covid Clinic.

3. Amendments. Parties agree that Provider may add, delete, or change the Services it receives by accessing its account on the Website. Provider’s signature below authorizes all changes Provider shall make.

4. Compliance with Website’s Terms and Conditions and Applicable Laws. Provider represents and warrants that at all times during the Term it will comply with the Website’s Terms and Conditions. Further, Provider’s signature below indicates Provider’s agreement to the website’s privacy policy. The Parties intend to conduct their activities under this Agreement in accordance with applicable laws, including but not limited to the Medicare Anti-Kickback Statute (42 U.S.C. §1320a-7b) and the Physician Self-Referral Law (common known as the Stark law) (42 U.S.C. §1395nn). Nothing in this Agreement shall require the referral of any patient or the purchase, order or lease of any item or service from one Party or an affiliate of such Party to the other Party or an affiliate of the other party.

5. Signatures; Counterparts. This Agreement may be executed electronically, in accordance with the Uniform Electronic Transactions Act, and signature pages delivered as PDF or image files shall be treated as originals. In addition, this Agreement may be executed in multiple counterparts, with each counterpart considered an original whether or not such counterpart is executed electronically.

IN WITNESS WHEREOF, the Parties have executed this Agreement to be effective as of the Effective Date first set forth above.
